PLEASE READ THIS SOFTWARE LICENSE AGREEMENT ("LICENSE") CAREFULLY BEFORE USING THE SOFTWARE. BY USING THE SOFTWARE, YOU ARE AGREEING TO BE BOUND BY THE TERMS OF THIS LICENSE. IF YOU DO NOT AGREE TO THE TERMS OF THIS LICENSE, DO NOT USE THE SOFTWARE. USING ANY PART OF THE SOFTWARE INDICATES THAT YOU ACCEPT THESE TERMS.

Online Software Agreement

The Software Online Agreement (the "Agreement") is entered into by and between Strategic Billing Enterprise LLC., a New Jersey corporation, with offices at 107 Gilbreth Parkway STE. 103, Mullica Hill, NJ 08062 ("SBE") and the entity agreeing to these terms ("Customer"). SBE has been granted and is authorized under separate agreement with BRADM Technologies LLC as an authorized reseller and distributor for the software that has been developed and is owned by BRADM Technologies LLC (BRADM). This Agreement is effective as of the date you click the "I Accept" button below (the "Effective Date"). If you are accepting on behalf of your employer or another entity, you represent and warrant that: (i) you have full legal authority to bind your employer, or the applicable entity, to these terms and conditions; (ii) you have read and understand this Agreement; and (iii) you agree, on behalf of the party that you represent, to this Agreement. If you don't have the legal authority to bind your employer or the applicable entity, please do not click the "I Accept" button below. This Agreement governs Customer's access to and use of the Services.

LICENSE

The software accompanying this License whether on disk, CD, Web based or on any other media (collectively the "Software") is licensed, not sold, to you. You own the media on which the Software is recorded by Strategic Billing Enterprise, LLC. ("SBE") and/or its licensor(s) retain title to the Software. The Software in this package and any copies which this License authorizes you to make are subject to this License.

DEFINITIONS

Strategic Billing Enterprise, LLC. (SBE) is the master distributor and authorized reseller for the software (software, Electronic Patient Care Record). SBE also performs all account receivable and billing functions pertaining to. In the spirit of delivering excellent customer service SBE will attempt to answer any technical questions, these attempts should not be construed or interpreted as technical knowledge or capabilities. SBE will forward all feedback and concerns to BRADM for further evaluation or consideration at which time a BRADM or SBE representative will provide a follow up response.

BRADM Technologies, LLC. is the developer and sole manufacturer of the software and under separate agreement has granted SBE the ability to license and distribute the software. SBE has also been granted privileges to conduct account receivable and invoicing for BRADM pertaining to the software, when applicable. BRADM has reserved the right to solicit and distribute the software via BRADM's own direct channels.

You/your employees/designater/Client/Administator/End User. Refers to any that has either engaged SBE or BRADM for the purpose of accessing and utilizing the software for business. All client users and administrators are fully authorized to access the system via permission granted at the time a user login is created by the primary administrator or SBE and/or BRADM.

PERMITTED USES AND RESTRICTIONS

Unless you have multiple licenses for the Software, then at any time you may concurrently execute on separate devices as many instances of the Software as you have licenses. You may make copies of the Software (in machine-readable form) as reasonably necessary for the use authorized by this License. You may not decompile, reverse engineer, disassemble, modify, rent, lease, loan, under this License provided you transfer the related documentation, this License and a copy of the Software to a party who agrees to accept the terms of this License and destroy any other copies of the Software in your possession. Your rights under this License will terminate automatically without notice if you fail to comply with any term(s) of this License.

CONFIDENTIAL DISCLOSURE

This Software contains trade secrets and proprietary know-how belonging SBE and its licensors and it is being made available to you in strict confidence. You may copy, use, download install or otherwise benefit from the functionality or intellectual property of this Software only in strict accordance with the License and any separate license agreements associated with third party software or service components. Any use or disclosure of this program, or its algorithms, protocols, or interfaces, other than strict accordance with this license agreement, may by actionable as a violation of the SMSI's trade secrets rights. You are also prohibited from disassembling and reverse engineering the Software, and from using, distributing and copying any subcomponents or files in any manner including on a stand-alone basis. For additional privacy details, see our privacy section.

Terms

  1. Agreement Term. This Agreement will remain in effect for the Term. The term will conclude when such notice is provided by either party. However, for the purpose of identifying a renewal date the automatic renewal date will by on the exact date of the preceding year following the original Administrator's acceptance of the term.
  2. Services Term and Purchases During Services Term. SBE will provide the Services to Customer during the Services Term. Unless the parties agree otherwise in writing.
  3. Auto-Renewal. At the end of each Services Term, the Services will automatically renew for an additional Services Term of twelve months by default. Customer will pay SBE the then-current fees. Customer may alter the number of End User Accounts to be renewed by communicating the appropriate number of accounts to be renewed to SBE via the Control Panel. If SBE does not want the Services to renew, then it will provide Customer written notice to this effect at least fifteen days prior to the end of the then current Services Term. This notice of non-renewal will be effective upon the conclusion of the then current Services Term.
  4. Disabling Automatic Renewal. Customer may disable the automatic renewal option via notification to SBE. If Customer disables this automatic renewal setting, Customer's End User Accounts will terminate upon the conclusion of the then current term. SBE may re-enable the automatic renewal setting on Customer's behalf if Customer reduces or modifies the number of End User Accounts scheduled for renewal via the Control Panel.
  5. Requesting End User Accounts. Customer may request End User Accounts by: (i) notifying its designated SBE Account Manager; or (ii) ordering End User Accounts via the Admin. Control Panel.
  6. Revising Rates. SBE may revise its rates for the following Services Term by providing Customer written notice (which may be by email) at least thirty days prior to the start of the following Services Terms.

Services

Facilities and Data Transfer. All facilities used to store and process Customer Data will adhere to reasonable security standards. BRADM Technologies LLC. has implemented at least industry standard systems and procedures to ensure the security and confidentiality of Customer Data, protect against anticipated threats or hazards to the security or integrity of Customer Data, and protect against unauthorized access to or use of Customer Data. As part of providing the Services, SBE may transfer, store and process Customer Data in the United States or any other country in which SBE or its agents maintain facilities. By using the Services, Customer consents to this transfer, processing and storage of Customer Data.

Modifications
  1. To the Services. SBE may make commercially reasonable changes to the Services, from time to time. If SBE makes a material change to the Services, SBE will inform the Customer, provided that the Customer has subscribed with SBE to be informed about such change.
  2. To URL Terms. SBE may make commercially reasonable changes to the URL Terms from time to time. If SBE makes a material change to the URL Terms, SBE will inform the Customer by either sending an email to the Notification Email Address or alerting the Customer via the Control Panel. If the change has a material adverse impact on the Customer and the Customer does not agree to the change, the Customer must notify SBE via email at admin@strategicbilling.net within thirty days after receiving notice of the change. If the Customer notifies SBE as required, then the Customer will remain governed by the terms in effect immediately prior to the change until the end of the then-current Services Term for the affected Services. If the affected Services are renewed, they will be renewed under SBE's then current URL Terms.
  3. The software may automatically report version number or other diagnostic information and may automatically download upgrades to the Software to update, enhance and further develop Software services, including providing bug fixes, patches, enhanced functions, missing plug-ins and new versions.
THIRD PARTY SERVICES

This Software may be used with a third party service offering and this License does not apply to any third party service offering(s). You acknowledge and agree that nothing in this License guarantees availability or continued availability of a third party's service for which this Software's use or operation may require. Any third party services provided with the Software may be subject to terms and conditions from the provider of the service. SBE makes no representations as to the quality, sustainability, functionality, or legality of any third party services, and you hereby waive any claim you might have against SBE regarding any third party services. You agree that SBE is not responsible or liable for any loss or damage of any sort incurred as the result of any such services. Any terms, conditions, warranties, or representations associated with any third party services are independent of this License and solely between you and such third party.

THIRD PARTY LICENSES

Portions of this Software include third party software and are licensed to you under a separate license agreement, including without limitation, those potions of the Software licensed under the "BRADM Technologies LLC. Export or re-export of Software to any entity on the Denied Parties List and other lists promulgated by various agencies of the United States Federal Government is strictly prohibited.

U.S. GOVERNMENT END USERS

The Software is provided with RESTRICTED RIGHTS. Use, duplication, or disclosure by the U.S. Government is subject to restrictions as set forth in subparagraph (c)(1)(ii) of the Rights in Technical Data and Computer Software clause of DFARS 252.227-7013 or subparagraphs (c)(1) and (2) of the Commercial Computer Software-Restricted Rights clause at 48 CFR 52.227-19, as applicable. The manufacturer is BRADM Technologies LLC., 107 Gilbreth Pkwy Ste. 103, Mullica Hill, NJ 08062.

CONTROLLING LAW AND SEVERABILITY

If there is a local subsidiary of SBE in the country in which the Software License was purchased, then the local law in which the subsidiary sits shall govern this License. Otherwise, this License shall be governed by the laws of the United States and the State of NJ, except for its conflicts of laws principles. Exclusive jurisdiction over and venue of any suit arising out of or relating to this Agreement will be in the state and federal courts of Gloucester County, NJ. If for any reason a court of competent jurisdiction finds any provision, or portion thereof, to be unenforceable, the remainder of this License shall continue in full force and effect.

COPYRIGHT & TRADEMARK NOTICE

Strategic Billing Enterprise, BRADM Technologies, and other SBE designated logos, marks, names and trade names are trademarks of Strategic Billing Enterprise, LLC. or Strategic Billing Enterprise has obtained the necessary rights and approvals. All other product names mentioned in the Software or its documentation and materials are used for identification purposes only and may be trademarks or registered trademarks of their respective companies. Registered and unregistered trademarks used herein are the exclusive property of their respective owners. You may not remove, modify, alter, cover or deface any trademark, trade names, product names, logo, copyright or other proprietary notices, legends, symbols or labels in the Software and any of its documentation or materials. This License does not authorize you to use SBE’s or its licensors’ names or respective trademarks. All rights not expressly granted in this License are reserved by SBE.

COMPLETE AGREEMENT

This License constitutes the entire agreement between the parties with respect to the use of the Software and supersedes all prior or contemporaneous understandings regarding such subject matter. No amendment to or modification of this License will be binding unless in writing and signed by SBE.

SAFETY

We do our best to keep software safe, but we cannot guarantee it. We need your help to do that, which includes the following commitments:

  1. You will not send or otherwise post/upload unauthorized commercial communications (such as spam) on the software.
  2. You will not collect users' content or information, or otherwise access the software, using automated means (such as harvesting bots, robots, spiders, or scrapers) without our permission.
  3. You will not engage in unlawful multi-level marketing, such as a pyramid scheme, using the software.
  4. You will not upload viruses or other malicious code.
  5. You will not solicit login information or access an account belonging to someone else.
  6. You will not bully, intimidate, or harass any user.
  7. You will not post/upload content that: is hateful, threatening, or pornographic; incites violence; contains nudity or graphic or gratuitous violence.
  8. You will not use the Software to do anything unlawful, misleading, malicious, or discriminatory.
  9. You will not do anything that could disable, overburden, or impair the proper working of the Software, such as a denial of service (DoS) attack.
  10. You will not facilitate or encourage any violations of this Statement.
Registration and Account Security

Users provide their real names and information, and we need your help to keep it that way. Here are some commitments you make to us relating to registering and maintaining the security of your account:

  1. You will not provide any false personal information on the Software, or create an account for anyone other than yourself without permission. With the exception of an administrator nobody should be creating accounts for any other individual.
  2. You will not create more than one user profile, per individual.
  3. If SBE disables your account, you will not be able to access your account without our permission.
  4. You will not use the Software if you are under 18.
  5. You will keep your contact information accurate and up-to-date.
  6. You will not share your password, let anyone else access your account, or do anything else that might jeopardize the security of your account.
  7. You will not transfer any end user login to anyone without first obtaining our written permission.
  8. If you select a username for your account we reserve the right to remove or reclaim it the username (such as when a trademark owner complains about a username that does not closely relate to a user's actual name).
Mobile

When accessing the Software via mobile/portable device (when available), please be aware that your carrier's normal rates and fees, such as text messaging and data access fees, will still apply.

Amendments
  1. SBE reserves the right to change and/or modify this License/agreement at any time, without prior notice or consent from you. Notice will be provided at the time a change or modification is made, instructions on how to access the revised License will be provided, with the accompanying notice.
  2. We can make changes for legal or administrative reasons, or to correct an inaccurate statement, upon notice without opportunity to comment.
Termination

If you violate this license/agreement, or otherwise create risk or possible legal exposure for SBE its affiliate and licensors, we can stop providing all or part of the Software to you. We will notify you by email or at the next time you attempt to access your account. You may also delete your account or disable your application at any time. In all such cases, this Statement shall terminate.

Upon written request, within sixty (60) days of termination SBE will provide a human readable version of the content stored in the software. SBE will provide specific electronic formats of the content at an additional fee that will be determined at the time of request, provided that SBE has the expertise and capabilities to generate the requested format. SBE reserves the right to deny the request for special formats, In which case SBE will fulfill the request with a human readable version of the data

Strategic Billing Enterprise Indemnification and Limitation of Liability
  1. Provided that the Content is only used in accordance with this Agreement and you are not otherwise in breach of this Agreement and as your sole and exclusive remedy for breach of the representations and warranties set forth in Section above, SBE shall, subject to the terms of Sections 8(b),(c),(d) and (e) defend, indemnify and hold harmless you, your parent, subsidiaries and affiliates and respective directors, officers and employees from all damages, liabilities and expenses (including reasonable outside legal fees), arising out of or connected with any actual or threatened lawsuit, claim or legal proceeding alleging that the possession, distribution or use of the Content by you is in breach of the representations and warranties set forth in Section 7(a) above. The foregoing states SBE’s entire indemnification obligation under this Agreement.
  2. The indemnification set out in Section 8(a) above is conditioned on your prompt notification in writing to SBE of such claim and our right to assume the handling, settlement or defense of any claim or litigation. You agree to cooperate with SBE in the defense of any such claim or litigation and shall have the right to participate in such litigation at your sole expense. SBE shall not be liable for legal fees and other costs incurred prior to the notice of the claim.
  3. IN NO EVENT SHALL SBE OR ANY OF ITS AFFILIATES OR CONTENT PROVIDERS OR THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, SHAREHOLDERS, PARTNERS OR AGENTS BE LIABLE FOR ANY INCIDENTAL, INDIRECT, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING DAMAGES FOR LOSS OF PROFITS, INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) IN CONNECTION WITH ANY CLAIM, LOSS, DAMAGE, ACTION, SUIT OR OTHER PROCEEDING ARISING UNDER OR OUT OF THIS AGREEMENT, INCLUDING WITHOUT LIMITATION YOUR USE OF, RELIANCE UPON, ACCESS TO, OR EXPLOITATION OF THE CONTENT, OR ANY PART THEREOF, OR ANY RIGHTS GRANTED TO YOU HEREUNDER, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, WHETHER THE ACTION IS BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS OR OTHERWISE. NO ACTION, REGARDLESS OF FORM OR NATURE, ARISING OUT OF THIS AGREEMENT MAY BE BROUGHT BY OR ON BEHALF OF YOU MORE THAN TWO (2) YEARS AFTER THE CAUSE OF ACTION FIRST AROSE.
  4. NOTWITHSTANDING ANY OTHER TERM HEREIN, SBE SHALL NOT BE LIABLE FOR ANY DAMAGES, COSTS OR LOSSES ARISING AS A RESULT OF MODIFCATIONS MADE TO THE CONTENT BY YOU OR THE CONTEXT IN WHICH THE CONTENT IS USED BY YOU.
  5. SOME JURISDICTIONS DO NOT ALLOW FOR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.
Your Indemnification

You agree to indemnify, defend and hold SBE, its affiliates, its Content providers and their respective directors, officers, employees, shareholders, partners and agents (collectively, the “SBE Parties”) harmless from and against any and all claims, liability, losses, damages, costs and expenses (including reasonable legal fees on a solicitor and client basis) incurred by any SBE Party as a result of or in connection with any breach or alleged breach by you or anyone acting on your behalf of any of the terms of this Agreement.

Acknowledgment

YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND HAD AN OPPORTUNITY TO SEEK INDEPENDENT LEGAL ADVICE PRIOR TO AGREEING TO IT. IN CONSIDERATION OF SBE AGREEING TO PROVIDE THE CONTENT, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS LICENSE/AGREEMENT. YOU FURTHER AGREE THAT IT IS THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN YOU AND SBE, WHICH SUPERSEDES ANY PROPOSAL OR PRIOR AGREEMENT, ORAL OR WRITTEN, AND ANY OTHER COMMUNICATION BETWEEN YOU AND SBE RELATING TO THE SUBJECT OF THIS AGREEMENT.

SBE is committed to providing you with a secure online experience. Our employees are trained on our security policies and procedures and work diligently to protect the integrity of your information.

We follow and utilize HIPAA security standards, including firewalls and excryption, to safeguard the security of your information. These controls allow us to properly authenticate your identity when you access our online services and help to protect your information as it travels over the Internet between your computer and SBE. We also constantly monitor and assess the security of our systems.

Keep in mind that it is also important for you to take precautions to safeguard your information on your end.

Secure Login

For security, we utilize multi-factor authentication for users to access our online systems. You should never give out your user name and password to anyone, and we will never ask for this information from you via email, phone or in person.

Automated Time Out

To provide additional protection, a time out feature may be used on selected portions of our website. This feature will automatically log you off of your current online session after a period of inactivity.

Encryption

Most web browsers have the ability to communicate securly with a website by encrypting the information as it passes across the Internet. This method of communication is called Secure Socket Layer (SSL). SBE requires the use of a browser which supports a minimum of a 128-bit SSL encyption to log in to the online portal. If you see a website address that begins with "https" (as opposed to "http") and the "closed padlock", you are using an SSL connection to transfer your confidential information. SSL can be confirmed by clicking on the "closed padlock" and verifying the certificate information.
